A1. Innovation and tech-transfer: The venture capital
perspective |
China’s
VC industry has always been driven by business
innovation, but there is no doubt that the 11th
five-year plan still needs to address China’s
innovation capabilities. There is nothing wrong
with riding the wave of the current VC industry
and building companies that provide value to the
market/customers and to their investors. As the
Chinese market matures, however, technological
innovation will take center stage for VC investments.
The key to preparing for this development is technology
transfer from research labs and universities,
not by “real-estate incubators” that only provide
space, but by VC firms that consider such a transfer
to be a business development activity. This session
will bring together top university leaders from
China, the U.S., and Europe, senior government
officials, and leading venture capitalists to
share successful U.S. and European models for
technology transfer and then to discuss a successful
model for China.

| B1. Re-examining exit strategies for PE & VC in
China: Where to go public? |
Is Sarbanes-Oxley making it too costly for
smaller Chinese firms to go public in the U.S.?
Do China’s new regulation “Provisions for Foreign
Investors to Merge Domestic Enterprises”, which
have been promulgated by Ministry of Commerce
of P.R.C, make it more difficult for Chinese firms
to go public overseas? Can AIM become the next
hot-bed for Chinese firms to go public? What is
the real status today of China’s second board
market and capital market? Will it be possible
in the near future for the Chinese portfolio companies
of international PE and VC firms to go directly
public on the Chinese stock market? If so, then
what strategy changes do the international PE
and VC firms that are conducting investment business
in China need to make? What do valuations look
like today? This session will address these and
other issues.

| C1. Innovation of Software Technology on the
Horizon (Chaired by Microsoft ) |
The
world is changing very fast, led by technology
and innovation. Emerging, and often disruptive,
technology presents enormous opportunities for
innovation and growth, often exponentially. What
is today’s technology trend? What is Web 2.0 as
people are talking about everyday? Today the boundaries
between software, Internet technology, and media
technology are blurring. And the Software + Service
model is gaining ground. Microsoft led the technology
innovation for the last twenty years. What innovations
Microsoft are working hard on today? What does
it take for Microsoft to continue to lead in the
technology world? How will its Live strategy change
its own future as well as the software ecosystem?
What is China’s advantage? And finally, what opportunities
do all these present to investors and entrepreneurs
at China? Your questions will be answered in this
session.

| A2. Entrepreneurship: The entrepreneur and
venture capitalist perspectives |
The
key to success in VC investments is the credibility
and integrity of the entrepreneur to whom the
investment is made. Not many people in China understand
the true spirit of “entrepreneurship,” which not
only refers to innovation and starting a new business
venture, but also to “the right values, integrity,
and social responsibility.” To sustain healthy
economic growth – and to further the growth of
its VC industry in the long run – China needs
to foster more real entrepreneurs, who understand
the true spirit of entrepreneurship. In turn,
the VC industry should also promote the true spirit
of entrepreneurship to foster real entrepreneurs
in China. In this session, successful entrepreneurs
and venture capitalists will share with the audience
their views on and experience of the critical
issues that are associated with entrepreneurship
and entrepreneurs in China.

| B2. International private equity strategies for investing
in China’s pre-IPO and other late stage companies |
Many
profitable, high-growth Chinese companies have
never received VC/PE money before. However, to
prepare for and finance major expansion (for example,
to go global or expand into major new lines),
they may need the support of outside capital and
value-added services. These firms may require
innovation to add new product lines or to develop
state-of-the-art technology to compete in mature,
global markets.
Most international private equity funds tend to
invest in later-stage businesses that require
at least US$10 million. What valuable experience
have international PE players in the Chinese market
gained in the past few years? Which industries
and businesses are most attractive to these private
equity funds? What are their investment preferences
and strategies? This session will address these
and other issues.

Role
transition: The leap from the successful entrepreneur
to the successful venture capitalist |
China needs more entrepreneurs, but also more
venture capitalists. In the past two years, a
number of successful, high-profile entrepreneurs
have gone into the management of venture capital
funds. Why did they change their roles, and have
they successfully made the change? Can a successful
entrepreneur become a successful venture capitalist?
What is the difference between a successful venture
capitalist and a successful entrepreneur, and
what are the critical elements for success? This
session will discuss these and other related questions.

| B3. M&As, buy-out, mezzanine, and restructuring
businesses in China: Policies and legal issues,
and operational strategies and processes |
M&As, buy-outs, mezzanines, and restructuring
businesses have seen tremendous development in
China in recent years in terms of the number and
amount of deals and are now the focus of global
attention. A large number of non-listed SOEs,
including state-owned banks and other financial
institutions, and some under-performing listed
firms on the Shanghai and Shenzhen Stock Exchanges
need to be restructured. A significant number
of private companies are also currently undergoing
restructuring. Therefore, there will be tremendous
M&A opportunities and potential in China in
the coming decade. What business strategies, techniques,
and operational models should PE players adopt
to conduct M&As and buy-out business in China?
What new policies and regulations affect international
PE players that want to conduct M&A business
in China? What gaps exist in China in comparison
with mature overseas markets? What lessons can
experienced players share with those who are new
to the market? This session looks at the answers
to these and other questions.

| A4. Life Sciences and Biotech: The latest
developments in China and the World |
The
life sciences and biotech industry has been regarded
as one of the hottest investment sectors by private
equity and venture capital funds in recent years,
which can be attributed to its cutting-edge technology,
industry cluster scale, and the high return on
investment. This sector will become another pillar
to sustain China’s economic growth. This session
will serve as the premier industry gathering for
VC and PE investors to discuss and explore the
key opportunities in biotech and life sciences
in China and the world, and for China’s corporate
executives to gain insight into the current development
trends. The audience will have the unique opportunity
to hear from leading PE and VC investors, CEOs
from emerging biotech and life sciences growth
companies, and first-class biotech and life scientists
from China and the world. Discussion issues will
include, but not be limited to, the biotech and
life sciences technology gap between China and
the world; investment opportunities in China and
their advantages and the disadvantages; the impact
of China’s drug policy on biotech investments;
innovative models for funding R&D/university
spin-offs; and the stem cell initiative and its
impact on investments.

| B4. International PE &VCs in China: opportunities
versus challenges; success versus failure |
The globalization of private equity
and venture capital has become an integral part
of international economic integration. How does
private equity and venture capital flow among
different countries and regions? Which areas of
PE and VC will have the largest impact on China?
How do global PE and VC investors look at China,
and what are their investment strategies and models?
What new industries and technological trends do
international PE and VC funds focus on in China?
What challenges and failures have they experienced
in previous years in China? What are the critical
factors for the success of these funds in China?
How can they leverage change and technology in
China for success? What differentiates markets
and investment opportunities in China’s different
regions? What types of governance structures,
profit models, and management teams are more appealing
to venture capital? How can we construct a unique
Chinese business model to win the opportunity
to cooperate with global financial institutions
in asset and wealth management? These and other
issues will be discussed in this session.

| A5. Clean-Tech and New Energy: Are they the next
gold mine for international PE investors in China? |
China
has achieved an economic miracle in the past 25
years with an average annual GDP growth rate of
more than 9%. This miracle has come at a painful
price, however: the whole of China is suffering
from huge environmental and ecological problems,
which, it has been estimated, cost the economy
more than RMB 1 trillion per year. At the same
time, China’s fast pace of economic growth requires
a huge amount of energy, which has created two
further problems: it has made the world’s energy
market more intense and expensive and worsened
environmental conditions. Therefore, the application
of clean-tech to environment protection and the
search for new sources of energy have become national
strategies for China. Will clean-tech and the
development of new sources of energy become some
of the hottest areas of investment and technology
to be embraced by the private equity and venture
capital community in China? Are there policies
and regulations in China that favor investment
in clean-tech and new energy sources? What relevant
global technologies can be applied in China? This
session will discuss these questions and the industry’s
current status, investment opportunities, and
the advantages and disadvantages of China’s clean-tech
industry and the development of new sources of
energy.

Closing plenary session (800+ attendees)
The marriage of
imaginative entertainment industry leaders and creative
venture capitalists: The way forward
|
|
In
the interests of openness and reform, the Chinese
government has promulgated interim provisions
to promote foreign investment in the television
and film industries. Accompanying the swift improvement
in the living standards of the Chinese is a huge
demand for good television programs and films.
However, there is a huge gap between the demand
for and supply of good programs. This plenary
session will discuss and explore investment opportunities
for private equity and venture capital investors
in China’s television and film industries. Potential
challenges, opportunities, policy obstacles, and
operational matters will be fully discussed. In
addition, guest speakers, including film producers,
directors, and actors and actresses, will share
with the audience their valuable experience of
producing films and TV programs. This will be
a relaxed and enjoyable session.
